SEC Amends Requirements Related to Business, Legal Proceeding, and Risk Factor Disclosures Under Regulation S-K

The SEC has issued a final rule, Modernization of Regulation S-K Items 101, 103, and 105. The final rule is intended to improve “disclosures for investors and add efficiencies to the compliance efforts of registrants” and to enhance “the readability of disclosure documents, as well as discourage repetition and reduce the disclosure of information that is not material.”
