SEC Issues Disclosure Guidance for China-Based Issuers

The SEC’s Division of Corporation Finance (the “Division”) has issued CF Disclosure Guidance: Topic No. 10, Disclosure Considerations for China-Based Issuers. The disclosure guidance provides the Division’s views on “certain disclosure considerations for companies based in or with the majority of their operations in the People’s Republic of China.”
