SEC Releases Technical Amendments Related to Vacated Share Repurchase Disclosure Rule

The SEC has released technical amendments to reflect the December 19, 2023, vacatur of its May 2023 share repurchase disclosure modernization final rule by the U.S. Court of Appeals for the Fifth Circuit. The technical amendments “do not impose any new substantive regulatory requirements” and merely rescind “the changes to the rules and forms promulgated under the Exchange Act and the Investment Company Act.”
