SEC Announces Extension to Compliance Dates for Amendments to Investment Company “Names Rule”

The SEC has announced that it has extended the
compliance dates for its September 2023 final
rule that amends the “Names Rule” under the Investment Company
Act of 1940, which “addresses fund names that are likely to mislead investors about
a fund’s investments and risks.” Specifically, the compliance dates are being
extended by six months — from December 11, 2025, to June 11, 2026, for larger fund
groups and from June 11, 2026, to December 11, 2026, for smaller fund groups.
The SEC is hoping that the extension will “balance the investor benefit of the
amended Names Rule framework with funds’ needs for additional time to implement the
amendments properly, develop and finalize their compliance systems, and test their
compliance plans.”
