SEC Updates FAQs Related to U.S. Government Shutdown

The SEC’s Division of Corporation Finance (the “Division”) has released an
announcement containing a series of updated FAQs on what SEC
registrants can expect in the event of a government shutdown. The U.S. government
partially shut down on Saturday, January 31, 2026.
In particular, the announcement notes that the Division’s operating status may be
uncertain, its “activities will be extremely limited,” and it “will not be able to
accelerate the effectiveness of registration statements.” Registration statements,
offering statements, and other filings will be accepted on EDGAR; however, during a
shutdown, the Division will not be able to declare registration statements
effective.
