CAQ Releases Highlights of March 2026 CAQ SEC Regulations Committee Joint Meeting With SEC Staff

The Center for Audit Quality (CAQ) has posted to its Web site the highlights of the March 12, 2026, CAQ SEC Regulations Committee joint meeting with the SEC staff. Topics discussed at the meeting included:

• Several matters related to the determination of a registrant’s smaller reporting company (SRC) status, including the following:
  • A registrant’s assessment of its SRC status after a change in fiscal year-end.
  • The determination of SRC status when a registrant’s annual revenues were previously greater than $100 million.
  • Redetermination of a registrant’s SRC status upon the consummation of a de-SPAC transaction in light of the guidance in Exchange Act CFI 130.05.
• The filing of interim financial information for a private operating company when a reverse merger between two operating companies takes place after the end of a fiscal quarter but before a Form 10-Q is due.

The next joint meeting between the CAQ SEC Regulations Committee and SEC staff is scheduled for June 9, 2026.
