SEC Proposes Enhancements to Registered Offering Framework and Reporting Requirements for Public Companies
May 20, 2026
The SEC has issued a pair of proposed rules as part of its efforts to modernize its
regulatory framework for public companies. The proposal on registered offering
reforms is “designed to increase efficiency, flexibility, and cost savings for
public companies while maintaining robust investor protections.” The proposal on the
reporting framework for public companies would “better calibrate disclosure
obligations with a company's size and maturity.”
