SEC Provides Sample Letter for Companies Offering Securities During Extreme Price Volatility

The SEC’s Division of Corporation Finance has released a sample illustrative letter for companies seeking to raise capital in securities offerings during market and price volatility. The sample letter contains comments on the types of disclosures the SEC would expect with respect to risk factors, use of proceeds, and the prospectus summary.
