SEC Releases Post-Shutdown FAQs

The SEC’s Division of Corporation Finance (the “Division”) has released a series of FAQs to provide guidance to issuers that filed registration statements with the Commission during the U.S. government shutdown. The purpose of the FAQs is to answer questions regarding any “pending filings,” given that more than 900 registration statements were filed during the shutdown, resulting in a “backlog of filings” that “the Division staff is working expeditiously to clear.”
